Important – Please Read Carefully: The customer’s use of this website and the services described are conditioned upon the customer’s compliance and acceptance of this agreement. If the customer does not agree with the Terms and Conditions of this agreement, please DO NOT USE the Services.

Hanby Conferencing is the service of Hanby Business Solutions Inc. that will bring conferencing services and products to you. The policies below are applicable to our website.

The customer represents that customer has the authority to order this service. Hanby Business Solutions Inc. assumes no liability for calls not completed due to circumstances beyond its control. For security purposes, we recommend not posting your account information online (including public forums or online calendars). In the event you have chosen to post this information in public record, we will be unable to credit back any charges that may be of a fraudulent nature.

Hanby Business Solutions Inc. reserves the right to modify this policy from time to time as new products, services, or technologies become available.

Any prices, quotations and descriptions made or referred to on this site are subject to availability, do not constitute an offer and may be withdrawn or revised at any time prior to our express acceptance of your order.

Hanby Business Solutions Inc. may reject your order (without liability) if we are unable to process a payment or perform a pre-authorized credit check.

Section 1:
Introduction:
Hanby Business Solutions Inc. is a provider of audio, video and web conference services and equipment. Our web site is meant to inform and service our customers and we endeavour to minimize the use and protect personal information and ensure that your privacy is protected while using our site.

Service Description: This agreement governs the purchase and use of audio, video and web conferencing services and related products of Hanby Business Solutions Inc. and its third party suppliers. Hanby Business Solutions Inc. may alter, expand, or reduce the features of the services from time to time without notice to the customer. The customer agrees that Hanby Business Solutions Inc. obligation to provide services is conditioned upon the customer providing in a timely manner all information and assistance reasonably required to perform the services. Hanby Business Solutions Inc. reserves the right to reclaim any dial-in or numbers (i.e. no number portability) at any time. The customer acknowledges that not all services can be guaranteed from all locations including, but not limited to mobile telephones, pay phones or satellite phones due to various carriers or other restrictions.

Notices: Notices from Hanby Business Solutions Inc. may be sent by mail, email, or other electronic media and will be considered given upon delivery to the physical address, email address or other contact information provided by customer for billing or account management purposes. Notices to Hanby Business Solutions Inc. must be sent to the address mentioned in Hanby Business Solutions Inc. statement to the customer. All notices shall be in English.

Section 2:
At Hanby Business Solutions Inc. your privacy is our concern. We understand your need for privacy when using the web for your communications and we have developed our privacy policy in order to demonstrate our commitment to your privacy. We want you to feel confident about the privacy and security of your personal information.

The information Hanby Business Solutions Inc. holds about the customer will be used to provide the services and for identification, account administration, analysis and fraud/loss prevention purposes.

Once you register with Hanby Business Solutions Inc. or sign-up to one of our services, you are no longer anonymous to us.

By accessing the services of Hanby Business Solutions Inc. and voluntarily providing us with the requested personal information, you consent to the collection and use of the information in accordance with this privacy policy.

This information may be combined with other information about your use of our services and our website in order to improve our services. Some examples of how we might use your personal information include:

  • We will use your email address in order to respond to your inquiry.
  • Our server will recognize your domain name and the pages that you visit during a web conference call. This data is gathered for quality control and improvement of our site and service.
  • We collect information that you volunteer to us on surveys, contests, and registration sites.
  • We ask for your email address in order to communicate with you about your account and other related services and products or we may contact you to offer new products and services, however if you do not want to receive this information, please let us know.

Hanby Business Solutions Inc. will not pass on or sell your email, contact information to any organization beyond Hanby Business Solutions Inc. or 3rd party suppliers without your express permission. We will not send you unwanted email messages or junk mail; however our marketing and accounting departments may need to communicate with you via email regarding new services and products, your account or service issues.

Disclosure for Legal Purposes: While Hanby Business Solutions Inc. will use its best efforts to protect your privacy and personal information, we may be required by law or we may believe in good faith that disclosure is necessary: a) to defend our rights or property or those of our users; b) to comply with legal process served on us; c) or in connection with a corporate transaction such as a merger, consolidation or sale of substantial assets.

Proprietary Rights: Hanby Business Solutions Inc. owns and retains all proprietary rights in the Site. The site may contain copyrighted material, trademarks, and other proprietary information of Hanby Business Solutions Inc. and its licensors. Information, including content, distributed or posted by Hanby Business Solutions Inc., or our partners may be protected whether or not it is identified as proprietary to any of the aforementioned parties. The customer agrees not to modify, copy, or distribute any such information in any manner whatsoever without the express written permission of Hanby Business Solutions Inc.

Section 3:
Our technology: The technology we employ ensures that your information is secure and protected from loss or misuse, from unauthorized access, disclosure, alteration or destruction and from improper use. For example, we provide password-protection for certain services offered on this site. We will continue to enhance our security procedures as new technology becomes available.

We store your sensitive information in secure operating environments that are not available to the general public. We have taken all necessary safeguards and security measures to protect your privacy, however, you recognize and accept that under the current technology, where Hanby Business Solutions Inc. sometimes uses technical protective security programs in conjunction with its services, Hanby Business Solutions Inc., in no way whatsoever provides or implies an absolute warranty of security and protection to you.

External or Hyperlinks: The site may post from time to time links to other Internet sites and resources. Hanby Business Solutions Inc. is not responsible for the privacy policies of those sites or the cookies those sites use. In addition, because Hanby Business Solutions Inc. has no control over such sites and resources, you acknowledge and agree that Hanby Business Solutions Inc. is not responsible for the availability of such external resources, and does not endorse and is not responsible or liable for any content, advertising, products, services, or other materials on or available from such sites or resources. Prior to use of these sites, it is recommended that you review the site's terms of use/service agreements and privacy policy.

License: Subject to the customer's compliance with the terms and conditions of this agreement, Hanby Business Solutions Inc. hereby grants the customer a non-exclusive license during the use of the services. Except as specifically set forth herein, Hanby Business Solutions Inc. or its suppliers retain all right, title, and interest, including all intellectual property rights, relating to or embodied in the Services, including without limitation all technology, telephone numbers, web addresses, software, or systems relating to the services. The customer agrees not to reverse engineer, decompile, disassemble, translate, or attempt to learn the source code of any software related to the services. Other than using the services for conferences or meetings in which the customer is an active participant, the customer may not resell the services or otherwise generate income from the services without the express permission of Hanby Business Solutions Inc.

Recordings: While Hanby Business Solutions Inc. protects your privacy and data, we want you to be aware that any time you participate in a conference call, the moderator and/or a third-party to the conference may record the session for their own purposes.

Section 4:
Member Account, Password and Security:
Some of our services may require you to open an account, and/or complete a registration form. If you are assigned a password and user name, or asked to choose a password and user name, you are responsible for maintaining the confidentiality of your password and account. You are responsible for any and all activities that may occur under your account and you agree to notify us immediately if there has been an unauthorized use of your account or any other breach of security. We are not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

Calculation of Chargeable Time: The pricing model is simple. The price is per line per minute, and you pay only for the time you use. The price includes a toll free dial in number for all points within the Canada and continental USA. Dial out charges are extra.

There are no set-up fees, or monthly recurring charges.

Sample: For 60 minutes (1 hour): 60 minutes x $0.10 x 5 lines = $30.00 plus applicable taxes.

International access numbers are available upon request. International rates vary depending on the country and will be charged accordingly and added over and above the service rate.

Customer's Liability for all Costs and Charges: The customer shall be liable for all charges associated with their service, including unauthorized calls associated with the use of the service obtained from the company, including, but not limited to, calls made using the service when such calls are in any way routed through the customer's location. The customers shall maintain sole responsibility for the security of their toll free access issued to them.

Payments and Charges: Payments and Charges: On or about the first business day of each month, a statement of usage will be emailed to the customer. Hanby Business Solutions will bill the customer electronically by invoice or to the provided Credit Card number for the previous month’s usage A paper copy is available upon request for a fee ($9.95 + applicable taxes).

Charges rejected will be subject to a $20.00 + applicable taxes chargeback fee.

We reserve the right to verify credit card information prior to acceptance.

An order submitted by you constitutes an offer by you to purchase products or services on these Conditions and is subject to our subsequent acceptance.

Refunds policy: Refunds policy: If you use our conference services we will bill you for each minute spent on the line by each caller who calls into the conference. If you request a refund, our policy is to research all refund claims no later than the first full business day following your inquiry. If we find that an adjustment is fairly justified, we will process that adjustment and credit or provide refund to your next billing cycle. If the adjustment or credit is not deemed to be valid, we will provide a written explanation within the same time frame. All technical troubles should be reported during the conference call by pressing *0 for an Operator.

The customer must notify Hanby Business Solutions Inc. of any disputed charges within five (5) business days from the date of their statement, otherwise the customer will be deemed to agree to such charges and Hanby Business Solutions Inc. will not be subject to making adjustments to charges or statements. The customer acknowledges and agrees that: services are charged by multiplying all inbound or outbound legs of all conferences by the applicable per minute rate plus applicable taxes.

Price Changes: The customer acknowledges and agrees that rates are subject to change at any time on thirty (30) days prior written notice to the customer. The customer agrees to review each usage statement and to notify Hanby Business Solutions Inc. of any rate disputes within five (5) days from the date of the statement. Otherwise the customer will be deemed to agree to such rate change and to have waived any rights to such change.

Unpaid or Rejected Charges: In the event charges due are not timely collected in full for any reason, Hanby Business Solutions Inc. shall have the right to suspend all or any portion of the services until such time as all charges and applicable interest amounts and/or late fees have been paid. Such suspension shall not relieve the customer of any payment liability. The customer agrees to reimburse Hanby Business Solutions Inc. for any costs, expenses, or fees expended by Hanby Business Solutions Inc. in connection with any collection efforts against the customer, including reasonable internal and outside attorneys' fees.

Taxes, Fees and Surcharges: In addition to the rates for the services, customer shall pay all applicable fees, duties, surcharges, or taxes now or hereafter attributable to the services and included on the customer's statement.

Responsibility for Customer's Accounts: The customer is responsible for maintaining the confidentiality of the customer's accounts, bridge numbers, conference codes, passwords and personal identification numbers used in conjunction with the services and for all uses of the services in association with the customer's accounts whether or not authorized by the customer. Hanby Business Solutions Inc. does not sell products or services for children. The customer will not allow children under 18 to use the services without the involvement of a parent or guardian. The customer agrees to immediately notify Hanby Business Solutions Inc. of any unauthorized use of the customer's account of which the customer becomes aware.

Responsibility for Communications: The customer is the sole owner of content and solely responsible for the content of all communications (visual, written or audible) using the customer's accounts. The customer shall comply with all laws while using the services; shall not transmit any communication that violates any law, court order, or regulation; shall not violate any third party rights in using the services; and shall not use the services in any way that damages Hanby Business Solutions Inc. property or interferes with or disrupts Hanby Business Solutions Inc. system or other users. Although Hanby Business Solutions Inc. is not responsible for any such communications, Hanby Business Solutions Inc. may suspend any such communications of which it is made aware.

Use of conference recording or taping any use of the services by the customer may subject the customer to laws or regulations and the customer is solely responsible for and obligated to provide any required notification to participants prior to commencement of the conference. The customer acknowledges and agrees that Hanby Business Solutions Inc. has not and is not expected to provide the customer with any analysis, interpretation or advice regarding the customer's compliance with the above and does not control the customer's content nor guarantee the accuracy, integrity, security or quality of the customer's content.

Section 5:
Termination of the Service:
Either the customer or Hanby Business Solutions Inc. may terminate this service agreement at any time for convenience upon written notice to the other party. Accounts that remain dormant for a period of 12 months will be deactivated.

Termination or Cancellation of Orders (other than services): The termination or cancellation of any equipment order is not accepted. Defective materials are covered under either the manufacturer’s limited warranty (Return to Factory) programs or Extended Service Programs.

All equipment purchases are final, non-cancellable, non-refundable, except as specified in the applicable Manufacturers Refunds/returns policy.

Section 6:
Limited Warranty:
All Services are provided “as is” and “with all faults” and without any warranty. The customer understands and agrees that Hanby Business Solutions Inc. services and the website are provide “as is” and “as available”. Hanby Business Solutions Inc. and its suppliers expressly disclaim all warranties of any kind, express or implied, including but not limited to any warranties of merchantability. Hanby Business Solutions Inc. makes no warranty or representation regarding any information, materials, goods or services obtained through Hanby Business Solutions Inc. services or websites, or that the services will meet any of the customer’s requirements, or be uninterrupted, timely, secure or error free. Use of the services and website are at the customer’s sole risk. Hanby Business Solutions Inc. is not liable for acts or omissions of other service provides, for information or content of communications, third party service, equipment failure or modification, or causes beyond Hanby Business Solutions Inc. reasonable control.
